Proportion of Females

 Decisions and disclosures in accordance with § 289a

 Section. 2 No. 4, Sentence. 4 HGB

The management has determined a target proportion of 11% of women in the first-level leadership team below the board level and a share of 17% for the second-level leadership team. These quotas are to be met by 30 June 2017.

On August 17, 2015 the associate meeting passed the following resolutions:

1. Currently the management board is staffed with four managing directors, one of them being a woman. A change, and by this an increase of the proportion of women is not intended until June 30, 2017. In case of a necessary replacement women will be considered equal as was the case in the past.

2. The supervisory board is currently staffed with nine male members. The current staffing guarantees appropriate work by the supervisory board. Due to this reason, a change, and by this an increase of the proportion of women is not intended until June 30, 2017. In case of a necessary replacement women will be considered equal as was the case in the past.
